Here is why:
Because the stock recovery was overwritten during the root process, and therefore when OTA download finished, the recovery was incompatible. Problem is, in my case the AT&T servers want me to wait for 12 hours before I can attempt an upgrade once again!
Solution: reinstall stock recovery using this method, and this way you will not have to re-root your phone and you get to use Jelly Bean OTA upgrades too.
